Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kairos application at yourkairos.io (the "Services"), operated by KSHMR LLC ("we," "our," or "us"). By using the Services, you agree to these Terms.

1. Use of the Services

You may use the Services only in compliance with these Terms and all applicable laws. You are responsible for any activity that occurs under your account.

Eligibility. You must be at least 13 years old to use the Services. If you are under 18, you represent that you are using the Services with the involvement of a parent or legal guardian.

Beta features.Some parts of the Services may be labeled beta, preview, or experimental. Beta features are provided on an "as is" basis, may change or be removed without notice, and may have reduced reliability. Data written to beta features may not be preserved if the feature is discontinued.

2. Accounts

You are responsible for safeguarding your authentication credentials and for any activity occurring under your account. Notify us immediately of any unauthorized access.

3. Your Content

You retain all rights to the data and content you enter into the Services ("Your Content"). We do not claim ownership of Your Content. You grant us a limited license to store and process Your Content solely to provide the Services to you.

Feedback. If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, worldwide, royalty-free license to use them without obligation to you.

4. Disclaimers

Health information. Kairos is not a medical device and does not provide medical advice, diagnosis, or treatment. Any health-related information presented by the Services is for informational purposes only. Kairos surfaces patterns in your data but does not recommend, prescribe, or suggest courses of action based on them. Always consult a qualified healthcare professional for medical decisions.

Financial information.Kairos is not a financial advisor, broker-dealer, tax professional, or lender. Any financial information presented by the Services — including categorized transactions, subscription detections, budget calculations, and spending patterns — is for informational purposes only and is not investment, tax, or financial advice. Category assignments are made algorithmically and may be incorrect. Always verify against your bank's records and consult a qualified professional for financial decisions.

AI-generated summaries. If you enable the Prose feature, some content shown to you (recaps, message excerpts with context, and Discover narratives) is generated by third-party AI models. AI-generated content may be inaccurate, incomplete, or misleading, and may misquote or misattribute your own past messages. Do not rely on AI-generated summaries as an authoritative record of your data — verify against the underlying source shown in the app.

5. Third-Party Services

The Services integrate with third-party services, including Apple (HealthKit and iOS backup protocols), Plaid, Google, Strava, and Anthropic (for optional AI narratives). Additional service providers are named in our Privacy Policy. Your use of those services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or content of third-party services.

6. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code
• Interfere with or disrupt the Services or infrastructure
• Use the Services to harm or defraud others

7. Intellectual Property

The Services, including all software, design, and content (excluding Your Content), are owned by KSHMR LLC and protected by intellectual property laws.

8. Termination

We may suspend or terminate your access to the Services at any time, for any reason, including violation of these Terms. You may stop using the Services or delete your account at any time via Settings → Account → Delete my account. Upon account deletion, we remove your data from active systems, revoke stored third-party OAuth tokens, and call provider-side removal endpoints where applicable (e.g. Plaid Item removal). Certain records (audit logs, transactional emails, backups) may be retained for security and compliance purposes as described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KSHMR LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in New Jersey.

12. Changes to These Terms

We may modify these Terms at any time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
